About Colleen

Colleen Powers is a health care transactions attorney who provides strategic counsel to some of the nation’s largest health systems, hospitals and physician groups. In the last several years, Colleen has served as lead counsel for multiple high-profile hospital acquisitions, divestitures and mergers. She’s also played a key role in the advancement of alignment strategies, by leading joint venture and other affiliation strategies—helping clients navigate both the business and regulatory aspects of each deal.

Providing her clients with responsive and practical advice, Colleen serves as a trusted advisor in navigating clients’ complex challenges, with the experience and drive necessary to get the deal done. In addition to her transactional work, Colleen regularly counsels clients on a wide range of health care issues, serving as an outside general counsel and advisor to physician groups, ASCs and hospitals.

She is a member of Hall Render’s Board of Directors, contributing to the Firm’s strategic direction and governance. She is the Service Line Organizer for our Mergers & Acquisitions Service Line, and also serves as a member of the Board of Managers for Hall Render Advisory Services.

Recognized for her legal insights, she has consistently been listed in Best Lawyers of America and Indiana Super Lawyers. In 2021, she was named on the Indianapolis Business Journal - Forty Under 40, based on her accomplishments, leadership and overall community impact.

Representative Transactions Experience

Colleen has served as lead counsel:

  • In the acquisition of a majority ownership interest in a five-hospital system, including acquisition of ASCs and other ancillary care sites, and the negotiation of a joint venture governance arrangement.
  • In the divestiture of a 140-bed hospital from a for-profit to a non-profit health system.
  • For a large regional health system in their acquisition of a hospital in Puerto Rico, and the subsequent purchase of a minority interest in a physician-owned integrated health system in Puerto Rico.
  • For a health system’s acquisition of a large, multi-specialty physician practice, including more than 200 providers, surgery centers, and an endoscopy center.
  • To a private-equity backed dental MSO representing 25 independent dental practices in their collective sale to private-equity.
  • For multiple physician groups in the sale of their practices to a private-equity backed enterprise, and the negotiation of an interest in the buyer’s MSO.
  • Representing a regional, non-profit network of community and specialty hospitals in the acquisition of a radiology group practice’s assets, ARs and employment of roughly 65 physicians.
  • Representing a regional health system in a joint venture to operate a state-of-the-art PACE Program facility.
  • To a large non-profit regional health system in the acquisition of a 480-bed hospital and related care sites, including medical office buildings, ASCs, outpatient care sites and a medical group.
  • To a large non-profit regional health system in a membership interest purchase transaction, acquiring the remaining ownership interest in a small regional hospital from its joint venture partner.
  • In numerous hospital affiliation transactions. Transactions have included ASC joint ventures; broad-based hospital/physician affiliation strategies, including licensing arrangements and joint ventures with for-profit specialty service providers.
