Negotiating information technology (IT) contracts for the purchase of software, hardware and services is a challenging task for attorneys. IT contracts are generally drafted by vendors and typically fail to give health care providers adequate protection and, often times, contain hidden costs and pitfalls. Accordingly, it is important that attorneys be familiar with the basic legal and business considerations necessary to negotiate a complete IT agreement that safeguards their client’s interests.
