BIOGRAPHY

Ronald Sheff provides general business and tax counsel to hospitals and other tax-exempt health care providers. He has represented hospitals in structuring corporate reorganizations to create health systems and obtaining the necessary IRS determinations and rulings, as well as obtaining determinations of tax-exempt status from the IRS for hospital subsidiaries and joint ventures.

Ron has extensive experience in hospital-physician joint ventures, including contract negotiation, the related federal regulatory and tax issues and the preparation of offering materials for investors. He has also participated in the structuring and implementation of complex real estate financing transactions for freestanding surgery centers and medical office buildings. A substantial part of his practice involves review and negotiation of a wide range of hospital contracts, including software licensing, educational affiliation, employment and service agreements.

Ron also represents borrowers and underwriters primarily in the areas of health care, education and local government projects. His finance clients have included hospitals, colleges and secondary schools, assisted living facilities, nursing homes and public agencies.
